DBCI’s Parent Company, NCI Building Systems, Merges with Residential and Renovation Construction Leader, Ply Gem

DBCI’s parent company, NCI Building Systems (NCI) and Ply Gem Parent, LLC (Ply Gem) announced the signing of a definitive merger agreement Tuesday, July 17, 2018.

As a leading manufacturer of exterior building products—including the commercial and self-storage roll-up doors and hallway systems produced by DBCI—NCI is excited about incorporating Ply Gem’s commercial and residential new construction and repair & remodel solutions into the building solutions portfolio we can offer our customers.

NCI Chairman James S. Metcalf will lead the integration of NCI (NYSE: NCS) and Ply Gem and serve as the Chairman and CEO of the combined Company following the NCI shareholder approval and closing of the merger transaction later this year.  Donald Riley, current CEO of NCI, will serve as CEO of the Company’s NCI Division. Ply Gem’s current Chairman and CEO will serve as Chairman Emeritus and Special Advisor to the Company, while Shawn Poe, current CFO of Ply Gem, will serve as CFO of the Company.
